Terms of Service

By accessing agicy.ai (the “Platform”), you agree to these Terms of Service (“Terms”). If you do not agree, do not use the Platform. These Terms are governed by the laws of the Republic of Cyprus.

The Platform is operated under the AGICYbrand by the project / brand operator of agicy.ai (“AGICY”). Planned Cyprus Cap. 113 vehicles, including the target HoldCo AGICY Holdings Ltd, are target / not yet formed— no incorporation claims or HE numbers are asserted here. The Platform provides information about AGICY’s planned services, investment opportunities, and allows users to apply for compute allocation (SRA), view pricing, and access related tools.

Pre-construction status: The AGICY datacenter facility (including the planned Vasilikos campus) is currently in pre-construction. Executed offtake is zero. Information on this Platform regarding the facility, capacity, and performance specifications represents planned targets and design-basis projections, not operational metrics. Software paths such as Copperway Playground, where offered, are limited demonstration services and are not live campus inference. All such projections are labelled with provenance indicators.

Certain features require registration. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. You must provide accurate information and promptly update it if it changes.

Sovereign Resource Allocation (SRA) applications are subject to review and approval. Submission of an application does not guarantee allocation. SRA terms, pricing, and allocation schedules are as published on the Platform and may be updated. Material changes will be communicated to registered applicants.

Content on the Platform does not constitute investment advice, financial advice, a solicitation to invest, or an offer of securities. All investment-related information is provided for informational purposes only. Prospective investors should conduct their own due diligence and consult qualified financial and legal advisors before making any investment decision.

The Platform may include experimental chat assistants (including the Aphrodite investor-relations desk on /invest and related pages). These assistants are in beta. They use large language models plus a retrieved knowledge excerpt. They may make mistakes, omit context, or state figures that are outdated or incomplete. Outputs are general information only — not investment advice, not a solicitation, and not an offer of securities.

Do not rely on a chat answer for any investment, SRA, legal, or operational decision. You must re-confirm material facts by sending email to agi@agicy.ai or by using the Contact page, before you act. AGICY may log prompts and replies to improve the desk and for abuse prevention.

All content on the Platform — including text, graphics, logos, software, and the AGICY brand — is the property of AGICY (or, upon formation, AGICY Holdings Ltd) or its licensors. You may not reproduce, distribute, or create derivative works without prior written consent, except as permitted by applicable law.

AGICY builds EU-sovereign AI infrastructure exclusively for civilian public benefit: healthcare, education, social services, humanitarian logistics, climate and disaster resilience, cultural heritage, and inclusive economic development.

By using the Platform or entering into any agreement with AGICY, you agree not to use AGICY services, capacity, or outputs for:

• Weapons development, autonomous weapons, targeting systems, or any conflict-command application
• Dual-use conflict applications or any purpose inconsistent with AGICY's published civilian / humanitarian mandate
• Any use that would process queries or workloads intended for warfare, weapons design, or conflict operations

AGICY may refuse service, suspend accounts, or terminate agreements without refund where use falls within these exclusions or violates applicable sanctions. See also our Trust Center mission gate.

You agree not to:

• Use the Platform for any unlawful purpose
• Attempt to access systems, data, or accounts without authorisation
• Scrape, mirror, or reproduce Platform content at scale
• Interfere with Platform infrastructure or security measures
• Misrepresent your identity or affiliation

To the maximum extent permitted by law, AGICY shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform. AGICY’s total liability shall not exceed the amounts paid by you, if any, in the 12 months preceding the claim.

The Platform is provided “as is” without warranties of any kind. AGICY does not warrant that the Platform will be uninterrupted, error-free, or free of harmful components. Forward-looking statements and projections are clearly marked and should not be relied upon as guarantees of future performance.

Tables and worked examples comparing Copperway with third-party LLM gateways (including OpenRouter) are modeled illustrations. They are not quotes, invoices, guaranteed savings, or an offer of securities. Third-party platform fees are taken from those providers’ published pricing pages as of the date shown on the comparison. Semantic compression figures are modeled and fail-open if the engine is unavailable. Sovereign Resource Allocation (SRA) introductory gateway rates are promotional and subsidized. Campus status is as stated in Section 2. The methodology and rate caveats are set out in the Gateway Pricing Disclaimer.

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, process, and protect your personal data in compliance with GDPR and applicable Cyprus law.

These Terms are governed by the laws of the Republic of Cyprus. Any disputes shall be subject to the exclusive jurisdiction of the courts of Limassol, Cyprus, without prejudice to your right to bring proceedings in your country of residence if mandated by consumer protection law.

We may modify these Terms at any time. Material changes will be communicated via the Platform and, where applicable, by email. Continued use after changes constitutes acceptance of the revised Terms.
